Terms of Sale
Effective Date: September 14, 2025
These Terms of Sale govern the sale of subscriptions and services provided by Clivio. They form part of the agreement between you and Clivio when you purchase a subscription or any paid service. By subscribing to a Clivio paid plan, you agree to these Terms of Sale in addition to the general Terms of Service above. In case of any conflict, these Terms of Sale will take precedence with respect to purchase and payment matters.
1. Scope of Application
These Terms of Sale apply to all paid subscriptions to the Clivio service, whether on a monthly or annual basis, and to any one-time purchases or future paid features we might offer. They apply to individual consumers and business customers alike, although certain clauses specifically address consumer rights (especially for EU customers). The subscription plans currently offered include a Free plan (at no cost), and paid plans such as Pro and Business, which come with additional features and storage. The details (features, pricing) of each plan are described on our website or app at the time of purchase.
By placing an order for a paid Clivio plan, you are making an offer to subscribe to our service under these conditions. The contract between you and Clivio is concluded only when we confirm your order by email and provide access to the paid features. We reserve the right to refuse any order or subscription request for legitimate reasons (for example, if we suspect fraudulent or unauthorized activity).
2. Pricing and Plans
All prices for Clivio subscriptions are displayed either on our sign-up page or pricing page. Prices are indicated in the currency relevant to your region (for example, euros for Europe, US dollars for the U.S., etc.) and are inclusive of applicable taxes where required by law (unless otherwise stated). European customers will see VAT included in the price if we are required to collect it. As noted, since Clivio is operated by a French auto-entrepreneur, VAT is not applicable at this time for subscriptions (under Article 293 B of the French CGI) due to our status and/or turnover. If this status changes or we become obliged to charge VAT (or any other tax), we will update our prices and inform you accordingly.
Promotions and Coupons: From time to time, we may offer promotional pricing, discounts, or coupon codes. Such promotions are subject to their own terms (for example, a discount might apply only to the first year, or a coupon might have an expiration date). Promotional offers cannot typically be combined with other offers, and they are not retroactive (meaning if you already subscribed, you can’t apply a new discount until perhaps your next renewal if eligible).
Free Trial: Currently, Clivio does not offer a free trial on paid plans (aside from the Free plan which has limited functionality). If we introduce a free trial in the future, the terms of the trial (duration, what happens after trial, etc.) will be communicated clearly. Generally, any free trial would automatically convert to a paid subscription unless canceled by the end of the trial period, but we will require your consent to start charging (for example, by having you input payment details at trial start and informing you of the auto-charge). All trial-related terms would be provided upfront when such an offer is made.
3. Orders and Payment Processing
Order Process: To subscribe, you will need to select a plan and enter your payment details. The order process will typically involve reviewing your cart or selection, confirming the plan term (monthly/annual) and price, and agreeing to these Terms. When you finalize your purchase, you will receive an email receipt or confirmation. This email serves as acceptance of your order and marks the start of your subscription contract. Please review the confirmation email and contact us if any information is incorrect.
Payment Method: We use Stripe as our primary payment gateway. Acceptable payment methods include major credit cards (and any other methods Stripe supports for your country, such as Apple Pay or others). By providing a payment method, you represent that you are authorized to use that method and you authorize Stripe (on our behalf) to charge the full subscription fee to that method. All transactions are encrypted and secure. We do not store your full credit card details on our servers; Stripe processes the payments and provides us a token.
Payment Timing: When you first subscribe, your card will be charged immediately for the first billing cycle (e.g., the first month or year). For auto-renewals, your card will be automatically charged on the renewal date (which is the same day of the month as your initial subscription, or the last day of the month if a shorter month). If a charge is unsuccessful, we will retry and/or reach out to you to update payment info.
Invoice: If you need an invoice for your records (especially businesses may require this), you can usually access and download invoices from your account billing settings or from the receipt emails. Each invoice will contain the necessary details such as our business name, address, your name (or company name if provided), the amount, and tax information if applicable. For French customers, we comply with invoice obligations, and our SIRET and other legal info will appear on the invoice.
4. Term, Renewal, and Cancellation
Term: Your subscription is effective from the date of confirmation and lasts for the duration of the billing cycle you chose (one month for monthly plans, one year for annual plans). It will then automatically renew for successive periods of the same length until canceled.
Renewal Notices: For monthly plans, we generally do not send advance notice of each renewal due to the short period, but you can see your upcoming renewal date anytime in your account settings. For annual plans, we may send a reminder email in advance of renewal (e.g., 1 month prior) as a courtesy, especially if there are changes in price. It remains your responsibility to keep track of your renewal dates.
Your Right to Cancel: You may cancel your subscription at any time, effective at the end of the current billing period. You can do this easily through your Account > Subscription settings on the Clivio website/app. The interface will allow you to cancel with a few clicks, in line with French law requiring simple electronic cancellation for subscriptions. Upon cancellation, we will not charge you again going forward. You will retain access to the paid features until the end of the period you’ve paid for. After that, your account will revert to the Free plan. If you prefer immediate cancellation (with immediate loss of service), you can contact support to request that, but note that in such a case, you will not be entitled to a refund for the remaining period (unless within a statutory withdrawal period, see below). It’s usually best to let your term run out.
We will send a cancellation confirmation via email. Keep this for your records. If you do not receive confirmation, please contact us to ensure your cancellation was processed.
Our Right to Cancel: In addition to termination for cause under the Terms of Service, we reserve the right to cancel your subscription by providing notice and a pro-rated refund of the remaining term. This could happen if we decide to discontinue the Service or a particular plan. We will provide advance notice (except in urgent cases like fraud) and refund any prepaid amounts for the canceled portion.
5. Refunds Policy
Standard Policy: As noted, payments are generally non-refundable. When you cancel, you simply prevent the next renewal and you will not be refunded for the current term. We do not provide refunds or credits for partially used subscription periods, except where required by law or explicitly provided in these terms.
Exceptions:
- Error or Duplicate Charges: If you believe you were incorrectly charged (e.g., you were charged twice, or charged despite a timely cancellation), please contact us at billing@clivio.app. If we find an error on our side, we will promptly refund the incorrect charge.
- Service Issues: If a significant service disruption or technical issue caused you to be unable to use Clivio for an extended time, you can request a credit or refund for that period. We evaluate such situations on a case-by-case basis.
- Chargebacks: If you initiate a chargeback with your bank for a subscription payment, we reserve the right to suspend your account immediately. We encourage contacting us first to resolve any billing issues amicably instead of issuing a chargeback, as unwarranted chargebacks may be treated as fraudulent.
How Refunds are Issued: If a refund is granted, it will be processed to the original payment method. Note that it can take several business days for refunds to appear on your credit card statement.
6. Right of Withdrawal for EU Consumers
If you are an individual consumer (not a business) residing in the European Union, you generally have a legal 14-day right of withdrawal (a “cooling-off period”) for online contracts, including digital services like Clivio. This means that within 14 days of your initial purchase, you can cancel for any reason and receive a refund. However, there is an important exception for digital services that start immediately: if you access Clivio’s paid service right away and we have fully performed the service within the 14 days, you may lose this right as detailed below.
Withdrawal Period: The withdrawal period expires 14 days from the day of the conclusion of the contract (which is the day you receive our subscription confirmation email).
To Withdraw: You must inform us of your decision to withdraw before the 14-day period expires. You can do this by emailing us at contact@clivio.app with a clear statement that you wish to cancel under the 14-day withdrawal right. You may optionally use the model withdrawal form provided by EU law, but it’s not mandatory. Providing your account email and the date of purchase will help us process it quickly.
Effects of Withdrawal: If you withdraw within 14 days, we will reimburse all payments received from you for that subscription. The refund will be processed without undue delay and no later than 14 days from the day on which we are informed about your decision. The refund will be made using the same means of payment you used for the initial transaction, unless you explicitly agree otherwise. You will not incur any fees from us for this reimbursement.
Early Performance & Waiver: By purchasing a Clivio subscription, you request that we begin service immediately (i.e., give you access to the paid features right away) and you acknowledge that if the service is fully provided within the withdrawal period, you lose the right of withdrawal. In practice, Clivio’s service is ongoing and not a one-time deliverable, but EU law considers a service “fully performed” if you consumed it completely within 14 days. Given that our subscriptions are continuous, this clause mainly means: if you use Clivio during the 14-day period and still decide to withdraw, we reserve the right to deduct a pro-rated amount for the service used up to the point you informed us (as allowed by law). However, since our Free plan is available, a more practical approach is that if you think you might want to cancel within 14 days, please do so and we will refund you fully and revert you to Free plan. The waiver is more relevant to one-off digital content purchases. Nonetheless, we include this acknowledgment to comply with EU directives.
(In summary, EU consumers have 14 days to change their mind. By starting the service immediately, you agree that we can start providing the service and, if applicable, you may waive the full withdrawal right once the service is fully utilized. We will always abide by legal requirements, so you can buy with confidence.)
Exceptions: If you upgrade from a Free plan to a paid plan, use the service heavily for 10 days, and then invoke withdrawal, we may consider that you have utilized the service and might issue a partial refund. But our aim is customer satisfaction, so we will handle withdrawals in good faith and in compliance with law.
7. Customer Support and Dispute Resolution
Support: We want you to be happy with Clivio. For any billing or subscription-related questions, please email billing@clivio.app or contact@clivio.app. We endeavor to respond to support requests within 1-2 business days. Support is provided via email (in English or French). There is no extra charge for customer support.
Complaints: If you have a complaint about Clivio’s service or these terms, we encourage you to contact us first to resolve the issue informally. You can email us or use any designated contact form. We take user complaints seriously and will work in good faith to address your concerns.
Mediation (France): In accordance with Article L.616-1 of the French Consumer Code, if you are a consumer in France and are not satisfied with our resolution of a dispute, you have the right to seek free mediation to resolve it. We will provide you with the contact information of an appropriate consumer mediation body upon request (currently, [we are in the process of selecting a mediator] – please contact us for updates). You may also refer to the Médiateur du e-commerce de la FEVAD or the European Consumer Centre for guidance. (Note: the EU Online Dispute Resolution platform was discontinued in 2025, so consumers should use national mediation or courts.)
Arbitration (US): (If applicable) – At this time, we do not mandate arbitration for disputes and prefer to rely on courts as specified in the Governing Law section of the Terms of Service. However, if a dispute arises with a user in the USA, we remain open to resolving it via arbitration or small claims court if both parties agree, in accordance with applicable laws.
Ultimately, our goal is to resolve any issues in a fair and efficient manner. Nothing in this clause restricts your statutory rights to seek remedies through courts as described in the Terms of Service’s Governing Law section.
8. Changes to These Terms of Sale
Just as with our general Terms, we may update these Terms of Sale occasionally. Reasons might include changes in consumer law, new payment methods, or changes to our service offerings. If changes are significant, we will notify subscribers in advance (for instance, via email or a notice at login) and give a clear effective date. Minor changes (which don’t materially affect rights) may be made by updating this page with a new effective date. Continued use of your subscription after the effective date constitutes acceptance of the new Terms of Sale. If you do not agree to the changes, you should cancel your subscription before the new terms take effect.
